3.5  Affiliate Reward Rates and tier thresholds are subject to change at Immortalize’s sole discretion. Any such changes will be reflected in these Terms & Conditions. We may, at our discretion, provide notice of such changes via email and/or platform notifications. It is your responsibility to review the most current version of the Terms & Conditions. Continued participation in the Program after such updates constitutes acceptance of the revised terms.

4. Payouts

 

4.1  Affiliate Rewards under this Program are issued as Credits upon confirmation of eligible transactions, in accordance with the Reward Structure set out in Section 3.

 

4.2  A transaction is considered confirmed, and Affiliate Rewards become eligible for issuance as Credits, only when all of the following conditions are met:

• full payment has been received and settled by Immortalize;

• the applicable refund or cancellation window has elapsed — being a period of thirty (30) calendar days from the date of payment, or such other period as Immortalize may designate for a specific product or service;

• no chargeback, dispute, or reversal has been initiated by the customer or their payment provider; and

• the transaction has not been flagged or suspended pending review for suspected fraud, policy violation, or other irregularity.

 

4.2.1  Immortalize reserves the right to extend the confirmation period for any transaction under active investigation or where a refund, chargeback, or dispute remains unresolved. Rewards associated with such transactions will remain in a pending state until the matter is resolved.

 

4.2.2  If a transaction is subsequently reversed, cancelled, or found to have been fraudulent after Affiliate Rewards have been issued, those Credits will be reversed. Where the Credits have already been withdrawn, Section 4.6 applies.

 

4.2.3  Immortalize's determination of whether a transaction is confirmed is final and binding.

 

4.3  Credits may be issued as one of the following types:

 

(a)  Withdrawable Credits (Default)
Withdrawable Credits are the default credit type assigned to all Affiliates. These Credits:

• May be withdrawn as cash (subject to payout terms); and/or

• May be used within the platform where applicable.

 

(b)  Non-Withdrawable Credits
Where selected by the Affiliate, rewards will be issued as Non-Withdrawable Credits. These Credits:

• Cannot be withdrawn as cash;

• May be used to offset eligible platform fees on Immortalize.

 

4.4  By default, all affiliates are set to Withdrawable Credits. Affiliates can change their Credit type preference at any time.

 

Any such changes:

• Apply only to future Affiliate Rewards; and

• Do not affect Credits already issued. Previously issued rewards will remain in their original credit type.

 Credits are non-convertible between Credit types once issued.

 

4.5  If a transaction to which Affiliate Rewards have been attributed is subsequently refunded, cancelled, charged back, or otherwise reversed, in whole or in part, the corresponding Affiliate Rewards will be reversed in the same proportion.

 

4.5.1  Reversed rewards will be deducted from your available Credit balance. If your Credit balance is insufficient to absorb the reversal, a negative balance may result. Negative balances will be offset against future Affiliate Rewards before any further payout is made.

 

4.5.2  Immortalize is not obligated to notify you of each individual reversal, though we will reflect such changes in your affiliate dashboard.

 

4.5.3  You acknowledge that refunds and chargebacks are an inherent risk of affiliate marketing and agree not to hold Immortalize liable for any resulting reduction in your Affiliate Rewards.

 

4.6  Notwithstanding any prior payout, Immortalize reserves the right to recover Affiliate Rewards that were paid out in error or in connection with:

• transactions later found to be fraudulent, reversed, or invalid;

• a breach of these Terms & Conditions, including but not limited to prohibited conduct under Section 5;

• self-referrals, fake accounts, or artificial inflation of rewards; or

• any error in the calculation or issuance of Credits.

 

4.6.1  Where Immortalize exercises its right of clawback, it may, at its discretion, take one or more of the following steps:

• deduct the amount from future Affiliate Rewards;

• set off the amount against any Credits remaining in your account;

• issue a written demand for repayment of amounts already withdrawn; and/or

• pursue any other remedy available at law or in equity.

 

4.6.2  You agree that any amounts recoverable under this clause constitute a debt owed to Immortalize, and you consent to Immortalize's right to pursue such debt through legal proceedings if necessary.

 

4.6.3  Immortalize's right of clawback survives termination of your participation in the Program.

 

4.7  Credits are a proprietary reward mechanism issued solely by Immortalize under this Program. Credits:

• are not legal tender, currency, or a financial product;

• do not constitute e-money, stored value, or a deposit;

• do not accrue interest;

• have no monetary value unless and until they are validly redeemed or withdrawn in accordance with these Terms; and

• are non-transferable and may not be sold, assigned, or otherwise disposed of to any third party.

 

4.7.1  Credits that remain unused and unwithdrawn for a continuous period of twenty-four (24) months from the date of issuance may expire and be forfeited without further notice. Immortalize will use reasonable efforts to provide a reminder notification prior to expiry, but is not obligated to do so. Expiry of Credits does not give rise to any right of compensation.

 

4.7.2  Immortalize reserves the right to modify, suspend, or discontinue the Credits system at any time, subject to reasonable notice where practicable.

 

4.8  You may request a payout (Withdrawable Credits only) at any time through the affiliate dashboard, provided you meet the minimum payout threshold.

 

4.9  A minimum confirmed balance of SGD $100 in Withdrawable Credits is required to initiate a payout.

 

4.10  Payouts are made using the payout methods available on your affiliate dashboard at the time of your request. Payout methods may be updated periodically.

 

All payouts are subject to a waiting period—determined at Immortalize's sole discretion—to account for possible cancellations or refunds.

 

4.11  You are responsible for providing accurate and complete payout details. Immortalize will not be liable for failed payments due to incorrect information.

 

4.12  You are solely responsible for reporting and paying any taxes due on your reward earnings in your jurisdiction.

5. Acceptable Use & Conduct

​

5.1  Affiliates must promote Immortalize ethically and in good faith.
 

5.2  You may not:

• 5.2.1 Misrepresent yourself or your relationship with Immortalize.

• 5.2.2 Use misleading or deceptive marketing tactics.

• 5.2.3 Engage in spam, keyword hijacking, or cookie stuffing.

• 5.2.4 Create fake accounts or make self-referrals.

• 5.2.5 Violate any applicable local or international laws.

 

5.3  Violations may result in suspension or permanent termination from the Program, with forfeiture of pending or unpaid rewards.

 

5.4  In connection with your participation in the Program, you may have access to or collect personal data (as defined under the Personal Data Protection Act 2012 of Singapore, or "PDPA") relating to users referred through your affiliate link.

 

5.4.1  You agree to:

• comply with all applicable data protection laws, including the PDPA, in connection with your affiliate activities;

• collect and use personal data only to the extent necessary for promoting Immortalize's products and services through the Program;

• not disclose, sell, or otherwise share any personal data obtained through your affiliate activities to any third party without the prior written consent of Immortalize and, where required, the data subject; and

• promptly notify Immortalize if you become aware of any actual or suspected breach of personal data in connection with your affiliate activities.

 

5.4.2  Immortalize's collection and use of personal data in connection with the Program is governed by its Privacy Policy, available at https://www.immortalize.io/privacy-policy. Immortalize does not share personal data with Affiliates beyond what is necessary for the operation of the Program.

 

5.5  Certain products or services available on the Immortalize platform may be subject to regulation under Singapore law, including regulations administered by the Monetary Authority of Singapore ("MAS") or other regulatory bodies.

 

5.5.1  You must not, in connection with your affiliate activities:

• provide financial, legal, tax, or investment advice to any person unless you hold the requisite licence or authorisation to do so under applicable law;

• make representations about the suitability of any product or service for a particular individual's financial situation or needs; or

• describe any product or service in a manner that implies endorsement, guarantee, or assured returns.

 

5.5.2  Where you promote any product or service that involves estate planning, financial instruments, or similar matters, you must include a clear disclaimer that you are an independent affiliate and that users should seek independent professional advice.

 

5.5.3  Immortalize accepts no liability for any regulatory breach arising from your marketing activities. You indemnify Immortalize against all claims, penalties, or losses arising from your failure to comply with this clause.

5.6  Immortalize reserves the right, at any time and at its sole discretion, to audit your affiliate activities, referral data, marketing materials, and any transactions attributed to your affiliate account to verify compliance with these Terms & Conditions.

 

5.6.1  You agree to cooperate with any such audit and to provide, within a reasonable time of a written request, any information or documentation reasonably requested by Immortalize in connection with such audit.

 

5.6.2  Immortalize may withhold, reverse, or suspend Affiliate Rewards pending the outcome of an audit. If an audit reveals a violation of these Terms, Immortalize may take any action available to it under Section 8 (Termination) and Section 4.6 (Clawback).

 

5.7  You must not engage in any conduct intended to artificially inflate your Affiliate Rewards or circumvent the intent of the Program, including but not limited to:

• exploiting loopholes, system errors, or unintended behaviour of the affiliate platform;

• coordinating with other affiliates to manipulate referral attribution;

• using automated tools, bots, or scripts to generate artificial clicks, sign-ups, or transactions;

• any form of collusion, incentivisation, or deception that results in referrals or purchases that do not reflect genuine customer intent.

 

5.7.1  Immortalize reserves the right to make the final determination as to whether conduct constitutes gaming of the Program. Where gaming is suspected or confirmed, Immortalize may reverse affected rewards, suspend or terminate the account, and pursue clawback under Section 4.6.

 

5.8  You must clearly disclose your relationship as an affiliate when promoting Immortalize, in accordance with applicable advertising and consumer protection laws.

 

Such disclosure must be clear, visible, and not misleading, including by using labels such as 'ad', 'sponsored', or 'affiliate link' where required by applicable guidelines.

6. Branding and Marketing Materials

​

6.1  Subject to your compliance with these Terms & Conditions, Immortalize grants you a limited, revocable, non-exclusive, non-transferable, royalty-free licence to use Immortalize's name, logo, and such other branding materials as Immortalize may make available from time to time ("Brand Assets"), solely for the purpose of promoting your participation in the Program.

 

6.1.1  This licence does not permit you to:

• sub-licence, transfer, or grant any rights in the Brand Assets to any third party;

• use the Brand Assets in any manner not expressly authorised under these Terms; or

• register or attempt to register any trademark, domain name, or social media handle that incorporates or is confusingly similar to any Brand Asset.

 

6.1.2  This licence is revocable at any time at Immortalize's sole discretion. Upon termination of your participation in the Program, or upon written notice from Immortalize, this licence terminates immediately. You must cease all use of the Brand Assets and, where requested, promptly destroy or return any materials incorporating them.

6.2  You must not:

• 6.2.1 Alter official branding without written permission.

• 6.2.2 Suggest you are employed by or officially representing Immortalize.

• 6.2.3 Use Immortalize assets in any harmful, offensive, or misleading context.

 

6.3  All intellectual property rights in the Immortalize platform, Brand Assets, and any content or materials made available through the Program remain vested in  Immortalize or its licensors. 

 

Nothing in these Terms grants you any ownership rights beyond the limited licence set out in Section 6.1.

7. Program Modifications

​

7.1  Immortalize reserves the right to modify, update, suspend, or terminate the Program, its features, reward structure, attribution logic, or these Terms & Conditions at any time.

​

7.2  We may, at our discretion, provide notice of changes via email and/or platform notifications.

​

7.3  It is your responsibility to review the most current version of the Terms & Conditions. Continued participation in the Program after any updates constitutes your acceptance of the revised terms.

8. Termination

​

8.1  You may exit the Program at any time by deleting your affiliate account through the affiliate dashboard. No separate notice is required.

 

8.2  Immortalize reserves the right to suspend or terminate your participation in the Program under the following circumstances:

• 8.2.1 Violation of these Terms & Conditions;

• 8.2.2 Inactivity, defined as no new referrals, no earned rewards, and no login activity on the affiliate dashboard for a continuous period of twelve (12) months;

• 8.2.3 Any other reason deemed necessary by Immortalize, including for business, legal, or operational reasons.

 

8.3  Upon termination, any unpaid rewards tied to unconfirmed or disqualified referrals will be forfeited.

 

8.4  If your affiliate account is deleted—whether by your own action or by Immortalize—all users previously tagged to your affiliate link will be untagged.

 

8.5  The following provisions shall survive the termination or expiry of your participation in the Program and shall remain in full force and effect:

• Section 4.6 (Clawback & Post-Payout Recovery);

• Section 5 (Acceptable Use & Conduct), to the extent it relates to conduct during the period of participation;

• Section 6.1.2 (Revocation of Branding Licence);

• Section 9 (Limitation of Liability);

• Section 10 (Governing Law); and

• any other provision which by its nature is intended to survive termination.

 

9. Limitation of Liability

9.1  Immortalize makes no guarantees about affiliate earnings.
 

9.2  We are not liable for indirect, incidental, or consequential damages arising from your participation.
 

9.3  You agree to indemnify and hold harmless Immortalize from any claims, damages, or liabilities related to your affiliate activities, including claims arising from your marketing activities, any misrepresentation made by you, or any regulatory breach on your part.

​

9.4  To the fullest extent permitted by applicable law, Immortalize's total aggregate liability to you under or in connection with these Terms & Conditions — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total value of Affiliate Rewards confirmed and issued to your account in the twelve (12) months immediately preceding the event giving rise to the claim.

 

10. Governing Law
 

10.1  These Terms shall be governed by and construed in accordance with the laws of Singapore.
 

10.2  Any disputes shall be subject to the exclusive jurisdiction of Singapore courts.

 

10.3  All disputes, controversies or differences arising out of or in connection with this Terms & Conditions, including any question regarding its existence, validity or termination, shall before or after the commencement of any other proceedings, be first referred to mediation in Singapore at the Singapore International Mediation Centre in accordance with its Mediation Rules for the time being in force, without prejudice to any recourse to apply to any tribunal or court of law of competent jurisdiction for any form of interim relief.

 

11. Relationship of Parties

 

11.1  You are an independent contractor. Nothing in these Terms & Conditions shall be construed to create any employment, agency (in the legal sense), partnership, joint venture, or fiduciary relationship between you and Immortalize. You have no authority to bind Immortalize contractually or to make representations on its behalf.

 

11.2  You may not assign, transfer, sublicense, or otherwise dispose of your rights or obligations under these Terms & Conditions, or your affiliate account, to any third party without the prior written consent of Immortalize. Any purported assignment without such consent shall be null and void. Immortalize may assign its rights and obligations under these Terms at any time without notice.

 

11.3  These Terms & Conditions, together with any supplementary policies or notices published by Immortalize on the Platform or communicated to you in writing, constitute the entire agreement between you and Immortalize in relation to the Program and supersede all prior understandings, representations, and agreements, whether oral or written.

 

11.4  Immortalize's failure to enforce any provision of these Terms & Conditions shall not constitute a waiver of its right to enforce that provision at a later time.
